Let’s discuss your investmentFor investors based in Spain and abroad.
Your starting point
What do you have in mind?
Start with your transaction. We bring together the areas it needs.

Already considering a business or a shareholding? Tell us about the transaction and what you need to review.
Discuss my acquisitionA broader project
Buying, running a business and moving to Spain. Tell us how they fit into your plans so we can coordinate the next steps.

The listing is the start.
The review comes next.
A home, a rental property and premises for your business call for different questions. We help you look beyond the price and consider the purchase alongside your intended use.
The property and its seller
Ownership, registered charges, land registry documents and authority to sell. We also review the available information on occupation, leases and the owners’ association.
What you will sign
Reservation and deposit agreements, finance conditions, deadlines and the consequences of breach. Understand the commitment before paying a deposit.
The full acquisition cost
Price, applicable taxes and completion expenses. Location, the type of supply and your circumstances determine what needs to be calculated.
Your plans after completion
Own use, rental, refurbishment or business activity. We identify the planning, technical and licensing checks required and who should carry them out.
A Spanish Land Registry extract helps identify registered rights and restrictions. It provides a starting point alongside the other transaction documents.
Business and share acquisitions
Understand the business.
Understand the deal.
The negotiation depends on whether you are becoming a shareholder, buying a company or acquiring selected assets. We start by defining that scope and the conditions you need to make a decision.
Review my business acquisitionWhat the purchase includes
Shares, assets, contracts, brand, stock and workforce. A clear account of what is included and excluded.
What needs due diligence
Company documents, accounts, debt, tax and employment obligations, material contracts, licences and potential disputes.
How the agreement is structured
Price adjustments, seller representations, warranties, completion conditions and, when there are other shareholders, governance and exit arrangements.
What happens after completion
Responsibilities, powers, outstanding obligations and business continuity. We coordinate the legal and tax timetable for the transition.
The Spanish Commercial Registry provides company information and filed accounts. Due diligence also requires documents specific to the business and transaction.
When decisions connect
Your investment may be part of a bigger plan.
A business that needs premises. A family project with assets in two countries. An investment alongside a change of residence. We bring the objectives, participants and timing together to review the legal and tax structure.
Before incorporating a company or purchasing personally, compare the obligations, ongoing costs and intended use. The ICEX Invest in Spain guide explains different ways of establishing and acquiring a business in Spain.
Plan my projectHow we work with you
From an idea to an informed decision.
Understand the transaction
Your objective, the stage of negotiations, participants and timing. If you have an offer or draft agreement, we start there.
Agree the scope
We define the review, the specialists required and the fees before work begins.
Organise the review
Missing documents, points requiring attention and outstanding decisions. You know what needs to happen next.
Coordinate the next step
Negotiation, preparation for completion and subsequent obligations, within the agreed scope of work.
To get started
You do not need every answer yet.
Tell us what you want to buy, where it is and the stage you have reached. If you are comparing options, we can start with the questions that could change your decision.
- Type of property, business or shareholding.
- Location and intended use.
- Buying individually, with partners or through a company.
- Any existing offer, reservation or completion date.
Before investing in Spain
Which taxes should I budget for when buying a home?
Tax treatment depends on factors including location and whether the property is being supplied for the first time or subsequently. The Spanish Tax Agency explains when VAT or transfer tax applies. Stamp duty, where applicable, and other transaction costs also need to be checked. One overall percentage cannot cover every purchase. See the Spanish Tax Agency’s guidance on VAT and transfer tax.
Can I prepare an investment while living abroad?
Yes, we can organise the review and documentation from the outset. Tax identification, representation for each step and transaction obligations need to be defined. Non-residents should also consider subsequent tax treatment: some properties held for personal use may generate imputed income. See the official guidance on non-resident taxation and imputed property income.
Does every foreign investment need prior approval?
No. Investment Register reporting and prior approval for specific transactions are separate matters. The investment, sector, investor characteristics and exemptions can change the analysis. We check the position before setting a completion date. See the Ministry of Economy’s investment screening guidance and Royal Decree 571/2023 on foreign investment.
Does buying property or a business give me Spanish residence?
A purchase does not, by itself, grant residence. Articles 63 to 67 of Law 14/2013 concerning investors ceased to have substantive effect on 3 April 2025. Transitional rules cover earlier applications and valid authorisations and require an individual review. If you also plan to relocate, we assess your immigration route separately. See Law 14/2013 and its transitional provisions.
What does MEDLA’s support cover?
The agreed legal and tax review and coordination: documentation, transaction structure, contracts and next steps. We define scope, professionals and fees before you engage us. Valuations, technical inspections and other specialist services are identified and quoted separately when required.
Your next step
